AGENT/ BROKER warrants that it is their responsibility, and they shall remain properly licensed to conduct business and receive commissions in those jurisdictions in which the insured resides. AGENT/ BROKER shall immediately notify Emerson Rogers of any termination, suspension, or expiration of any of the AGENT’s or BROKER’S licenses. AGENT/ BROKER shall comply with all applicable laws and regulations of the subject jurisdictions governing the conduct of business through Emerson Rogers.

AGENT/BROKER warrants and represents that during the term of this Agreement, it shall maintain errors and omissions coverage provided by an insurer rated “A” or better by A.M. Best Company with limits of liability of not less than $1,000,000 and it shall be AGENT’S/BROKER’s responsibility to maintain same. AGENT/BROKER shall provide Emerson Rogers a certification of such coverage issued by the insurer(s) upon request.
